how many holes did have to drill for the tag plate, and what about  the rust that may devolop around the holes, and under the paint

Four holes...touched up all holes with paint, compressed rubber backing behind the plate and kept the electrical bracket and cover/cap on the inside of the fender to keep the water out.  Pretty much sealed on both sides.
